1The contracting parties of this T&C are you and subsidiaries, branch offices, or affiliates of S.F. Express Co., Ltd. at the place of origin of your shipment (hereinafter referred to as SF). Please read these clauses carefully, be sure that you fully read, understood and accepted all the contents in these clauses. You have confirmed that, when you use the service due to the requirement of work, you have obtained full authorization of your company, and have fully read, understood and accepted all contents of this T&C.

2  In cases of any disputes arising from the performance, both parties shall negotiate to solve the problems friendly. If the negotiation fails, a lawsuit can be filed to the peoples court with jurisdiction at the shipping place.

3You have agreed to abide by the privacy policy as amended from time to time which is published on the official website of the Company (http://www.sf-express.com/cn/sc/Privacy_Policy/), and you have agreed that SF can process your waybill information in accordance with the provisions of laws, regulations, and the privacy policy.

4Indemnity clause

You are informed and agree that SF charges by the weight of shipments rather than the value and prospective earnings of the shipments. In the principle of fairness and justice, both parties agreed on the following compensation standards:

4.1 In the following cases, SF will not bear any compensation liability:

1  If the shipments are delayed, lost, damaged, deficient due to force majeure such as earthquake, typhoon, flood, fire, rainstorm and snowstorm, debris flow, war, riot, epidemic, government control;

2The fresh and cold storage articles are damaged within the transit time;

3SF cannot open the original package and reinforce the internal package, the original package of which is intact;`

4  Any indirect losses from any possible gains, actual usage and business opportunities from the consignments;

5  Other circumstances when SF is exempted from compensation in accordance with laws or agreed by both parties.

4.2 The compensation for delay is only an exempt for this service fee (excluding value-added fees such as SPP).

4.3 If you have not selected the Shipment Protection Plus (SPP) service, SF shall compensate the actual loss within the limit of 7 times the freight charge, unless otherwise agreed by both parties. If you regard the compensation standard insufficient for making up for your loss, you shall select the SPP service of equivalent value based on the actual value of your consignment. If you have not selected the SPP service, it is deemed that the consignment value is no more than RMB 1000.

4.4 SPP Service

4.4.1 The fee for SPP service provided by SF is charged based on your declared value and compensation is made based on the actually damaged value of the consignments, therefore please select SPP service based on the actual value of the consignment.

4.4.2 SF will not provide SPP services for the goods that part of the value is not easy to verify or goods that are fragile, for details, see the SPP page.

4.4.3 To save your time for sending the shipments, a compensation investigation mode of the consignment value is adopted, you shall truly declare the actual value of your consignment for SPP, if the shipment is lost, damaged, or in shortage during the transportation which require compensation, you shall provide valid value proof (like invoices, contract or payment proof), compensation will not be gained for the insufficient or exceeding part of the SPP. If you cannot prove the actual value of the consignment, SF will return the SPP fees to you in full and compensation as shipments without SPP service.

4.4.4 If the SPP shipment is damaged in the transportation process and the shipment can be repaired, SF can compensate the repair fee within the limit of SPP amount. If the consignment is totally damaged as affirmed by the appraisal authority acknowledged by SF, or the repair fee is higher than the actual value of the consignment, SF will compensate as a lost shipment.

4.4.5 If the SPP shipment is completely lost or damaged in the transportation process, SF will make compensation to you based on the actual loss, which is no higher than the SPP  amount of the consignment; If the shipment is partially lost or damaged, SF will compensate to you based on the amount of the compensation standards for complete loss or damage multiply by the loss proportion. If you or your designated payer refuses to pay the SPP fees, SF will compensate as non-SPP shipment.

The residual value shall be handled according to the negotiation between SF and you. If the residual value is owned by you, SF will deduct the residual value from the approved compensation amount.

4.6 If you have selected the Return Proof of Delivery service but the Proof of Delivery is damaged or lost owing to SFs reason, SF shall compensate only by providing the Return Proof of Delivery one time for free.

4.7As the consignment is jointly insured by SF and the insurance company, any claim for consignment exceptions such as damage and loss may be directly made with the said insurance company. To guarantee your personal interests, your shipping information, consignment information and other personal information will be synchronized to the said insurance company in partnership with SF so that the said insurance company can handle claim issues with you with regard to your consignment. If you signed this agreement, it shall be deemed that you have agreed that SF will synchronize your personal information mentioned above to the insurance company in partnership with SF and that the said insurance company will use the same to handle the claim issues in connection with your consignment.

5To protect your personal information, SF may use the encrypted waybill, and SF will input your shipping information into the order placement system and save the information. For the information hidden by the encrypted waybill, you have agreed that the information in SFs system shall prevail.

6To guarantee safe delivery of your shipment in sending your shipment in accordance with laws and regulations for safe shipment delivery, you shall perform the following obligations when sending consignments:

6.1 Ensure that the consignments do not contain official documents issued by government agencies, wild animals protected by the state, endangered wild animals and their products, counterfeit, fake and infringing articles and other articles prohibited or restricted by laws and regulations; Shall not jeopardize the national security, public security and legal rights of citizens, legal persons and other organizations through delivery channels.

6.2 Show your valid ID certificate, cooperate with SF staff for ID inspection and registration. If you are entrusted by others to send shipments, you are also required to provide valid ID certificate of the consignor.

6.3 Cooperate in open-box inspection. If the consignments require approval or inspection processes, you shall provide certificates to prove that you have completed the processes. SF can take photos of evidence. SF has the right to hand over prohibited or restricted goods, if found, to relevant authorities for handling.

6.4 You shall truthfully declare the consignment name, nature, quantity and value, and fill in accurately and clearly the information including shipper and receiver names, addresses and phone numbers.

6.5 You shall, according to the nature of your consignment (especially fragile goods, liquid and gas), provide sufficient damage-proof, leakage-proof, and explosion-proof packaging to guarantee safe delivery of the consignment.

7Your liability of compensation for damage

7.1 In the event that potential safety hazard, quality defects or damaged packaging of your consignment results in corrosion or damage to other consigned goods, transport tools or mechanical equipment, or casualties, you shall be held liable for compensation.

7. If your consignment is confiscated or detained, or the delivery route needs to be changed because the consignment is prohibited or restricted from posting and delivering or contain such prohibited or restricted articles, you shall compensate SF or third parties for economic losses caused by the delay in delivery or imparity in value of other consignments affected.

If you violate the obligations in clause 7 and inflict economic damage to SF or third party for economic loss like administrative penalty and civil compensation, you shall assume the liability.

8Right of lien

If you or your designated payer fails to fully pay expenses, SF is entitled to retain your consignment for 2 months (commencing on the date of shipment pickup) unless the consignment cannot be retained due to its nature. If you or your designated payer still fails to fully pay expenses upon expiry of the retention term, SF may sell off or auction retained goods and take priority in compensation, and the price derived therefrom shall first be used to pay the expense and storage expense incurred by SF in exercising the lien and then pay the expense owed to SF. In case of any balance, such balance can be remitted to your designated account according to your requirements.

9Agreements about charges:

9.1 If you instruct to pick up or deliver shipments in a logistics center or bonded area that requires payment of warehouse-in/out fee or other extra fees, you or your designated payer shall pay the above mentioned extra fees including warehouse-in/out fees that SF has paid in advance and shall also pay the surcharge to SF. The amount of the charges is subject to the charge voucher gained by SF.

9.2 If SF provides you services in legal holidays such as the Spring Festival and during business peak period such as Double Eleven online shopping festival, you shall pay the surcharge to SF. The surcharge is subject to those published on platforms such as SFs official website, WeChat official account and APP. You can log on SFs official website or dial SFs customer service hotline for consultation. If you send your shipment after the price change, it means that you agree to be charged by the changed fees.

9.3 For the consignment that fails to be delivered, if you request to return the consignment, you shall bear the cost of the round trip.

9.4If you require the return of the shipments, the round-trip fees shall be borne by you; if you declare the abandon of the shipment, you cannot claim any rights from SF again, you agree that SF has the right to handle the shipments on its own without bearing any liabilities.

10The transit time description of SFs service products is subject to the description published on SFs official website. You can log in to SF's official website to query the information or call SFs customer service hotline for consultation.

11SF may send product/service introduction, promotion information and other commercial information in the form of phone calls, emails, and mobile phone short messages. If you do not agree to receive the above-mentioned information, you can unsubscribe through SMS or dial SFs customer service hotline.

12Where any clause in this T&C is held by a court or government body as invalid or partly invalid, both parties agree to continue complying with other clauses hereof and that partly valid clauses should remain in effect to their utmost enforceable degree.
